Terms of Service

1. Acceptance of Terms

By accessing or using FoodPin — including our mobile application and website at joinfoodpin.com — you agree to be bound by these Terms of Service. If you do not agree you may not use the platform. FoodPin is operated by FoodPin LLC, an Alaska limited liability company.

2. Eligibility

You must be at least 16 years old to use FoodPin. By using the platform you represent and warrant that you meet this requirement. Giver accounts are intended for licensed food service businesses. Connector accounts are intended for registered nonprofit organizations and food banks.

3. User Accounts

You are responsible for maintaining the confidentiality of your account and for all activity under your account. You agree to provide accurate, current, and complete information and to keep it updated.

4. Platform Role

FoodPin is a technology platform only. We do not prepare, handle, inspect, store, or deliver food. We are not a party to transactions between Givers, Takers, and Connectors. FoodPin connects users but bears no responsibility for the food exchanged through the platform.

5. Giver Responsibilities

Givers are solely responsible for:

• Food safety and quality
• Accurate and honest listing descriptions
• Proper storage and handling prior to pickup
• Full and accurate disclosure of all known allergens
• Compliance with applicable local health and food safety laws

By posting a listing you represent that the food is safe for consumption and that all information is accurate.

6. Taker Responsibilities

Takers accept all food at their own risk. FoodPin strongly encourages reviewing all allergen and food safety information before claiming items. FoodPin is not responsible for any adverse reactions, illness, or outcomes resulting from food claimed through the platform.

7. Connector Responsibilities

Connectors — including food banks, nonprofits, and community organizations — are responsible for the safe handling, storage, and redistribution of all food received through FoodPin. Connectors must comply with applicable food safety regulations in their jurisdiction. By using Connector features including bulk claiming and impact reporting, Connectors agree that the data generated is for informational purposes and does not constitute a guarantee of grant eligibility or regulatory compliance.

8. Subscriptions and Payments

Giver and Connector accounts require a monthly subscription following any free trial period. Billing occurs monthly and subscriptions may be cancelled at any time. Fees are non-refundable except where required by law. Launch Partner pricing remains valid only while the subscription is active and uninterrupted — cancellation forfeits the Launch Partner rate permanently. Payments are processed through Stripe.

9. Tax Documentation

FoodPin may provide automated tax documentation based on IRS Section 170(e)(3) guidelines as a convenience feature. This documentation is provided as-is and does not constitute tax or legal advice. FoodPin does not guarantee the accuracy of calculations or their acceptance by the IRS or any tax authority. Givers are strongly encouraged to consult a licensed tax professional regarding their specific situation.

10. Prohibited Conduct

You agree not to:

• Post false or misleading listings
• Misrepresent food safety or allergen information
• Create fraudulent or duplicate accounts
• Harass, threaten, or harm other users
• Use the platform for any unlawful purpose
• Claim food with no intention of pickup
• Interfere with the operation of the platform

We reserve the right to suspend or terminate accounts at our sole discretion.

11. Intellectual Property

All content, trademarks, and technology associated with FoodPin are owned by FoodPin LLC. You may not copy, modify, distribute, or exploit any part of the platform without written permission.

12. User Content License

By posting content on FoodPin including food listings, photos, and profile information, you grant FoodPin LLC a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content for the purpose of operating and promoting the platform.

13. Disclaimer of Warranties

FoodPin is provided on an as-is and as-available basis. We make no warranties, express or implied, regarding the platform including availability, reliability, accuracy of tax documentation, or suitability for a particular purpose.

14. Limitation of Liability

To the fullest extent permitted by law, FoodPin LLC shall not be liable for any indirect, incidental, or consequential damages including food safety incidents, allergic reactions, missed pickups, or data loss. Our total liability for any claim shall not exceed the greater of the amount you paid to FoodPin in the past 3 months or $100 USD.

15. Indemnification

You agree to indemnify and hold harmless FoodPin LLC from any claims, damages, losses, or expenses arising from your use of the platform, your violation of these terms, or food safety or legal issues related to your listings.

16. Termination

We may suspend or terminate your account at any time with or without notice for any reason including violation of these terms.

17. Force Majeure

FoodPin is not liable for delays or failures caused by events beyond our control including natural disasters, internet outages, or other unforeseen circumstances.

18. Changes to Terms

We may update these Terms from time to time. Continued use of FoodPin constitutes acceptance of any updates. We will notify you of significant changes by email.

19. Governing Law

These Terms are governed by the laws of the State of Alaska. Any disputes shall be resolved in the state or federal courts located in Anchorage, Alaska.
